Key Responsibilities

  • Serve as corporate secretary and lead governance for Nium Pte. Ltd. and its global subsidiaries, including board and committee meetings, regulatory filings, resolutions, and consents.
  • Partner with Nium leadership, the Board of Directors, and the corporate secretary team to ensure compliance with all legal, regulatory, and corporate governance best practices.
  • Liaise with product, regulatory, finance, and compliance teams to ensure governance obligations are met under Nium’s regulatory licenses worldwide.
  • Oversee intercompany arrangements, including capital contributions, share issuances, and other intra-group transactions, in coordination with finance and local corporate secretaries.
  • Manage D&O questionnaires, related party transactions, and conflicts of interest matters for directors and officers.
  • Support fundraising and financing initiatives, including preparing Nium for potential IPO readiness.
  • Lead and advise on global M&A activity to support Nium’s growth in new and existing markets.
  • Contribute to special legal projects across multiple areas, including equity, IP, and employment.
  • Conduct legal research and provide guidance on complex corporate governance and regulatory issues.
  • Collaborate cross-functionally with corporate development, finance, HR, the broader legal, and compliance teams to enable Nium’s continued global expansion.
  • Prioritize business objectives and support the corporate legal needs of a rapidly scaling, internationally regulated company.
  • Proactively identify opportunities to add value and drive strategic initiatives across the business.

Requirements

  • 7+ years of relevant corporate experience at a major law firm and/or in-house legal team, with experience managing a portfolio of subsidiaries a strong plus.
  • Combination of in-house and law firm practice experience preferred.
  • Deep understanding of corporate governance requirements and best practices.
  • Proven expertise in corporate fundraising, M&A, and corporate governance, gained through work with high-growth or multinational companies.
  • Strong research, writing, and project management skills, with the ability to manage multiple complex matters simultaneously.
  • Demonstrated ability to act as the primary in-house attorney on significant corporate projects.
  • Effective collaborator who thrives in cross-functional environments and can influence outcomes through partnership.
  • Highly action-oriented and impact-driven; comfortable rolling up your sleeves to get things done.
  • Exceptional verbal and interpersonal communication skills, with the ability to simplify complex legal concepts for diverse audiences.
